Data 10 November, Shanghai Jianke announced that the company plans to acquire 100% equity of Shanghai Investment Consulting Group Co., Ltd., held by its affiliated party, Shanghai Guosheng, with its own or self-raised funds, with a transaction price of 488 million yuan. The book value of the shareholders’ equity of Shangzi Group as of the evaluation base date of July 31, 2024 was 411 million yuan, and the final evaluation value was 488 million yuan, with an appreciation rate of 18.57%. This transaction constitutes a related party transaction, which still needs to be submitted to the shareholders’ meeting for deliberation. The related party shareholder, Shanghai Guosheng, will abstain from voting at the shareholders’ meeting. After the completion of the transaction, Shangzi Group will become a wholly-owned subsidiary of the company.
