Charter Communications Secures $3B in Senior Notes to Refinance Obligations and Support Capital Returns

Charter Communications has successfully locked in $3.0 billion through a new senior unsecured notes offering, marking a strategic move to refinance maturing debt while supporting shareholder returns. The telecom giant’s financing structure splits across two tranches with distinct maturity profiles and yield levels.

The first tranche brings $1.75 billion of Senior Notes due 2033, carrying a 7.000% coupon and priced at par value. The second component consists of $1.25 billion of Senior Notes due 2036, with a higher 7.375% yield, also issued at 100% of principal. This dual-maturity approach allows the company to extend its debt runway while locking in current market rates.

The capital raised serves multiple strategic objectives. Charter plans to retire its existing 5.500% Senior Notes maturing in 2026 entirely, alongside a partial redemption of its 5.125% notes due 2027. This refinancing activity effectively extends the company’s debt maturity schedule and potentially reduces near-term pressure on its balance sheet. Beyond debt management, the company intends to deploy funds toward repurchasing shares of its Class A common stock and charter communications holdings units, reinforcing its commitment to capital allocation discipline.

The transaction is expected to close on January 13, 2026, contingent on standard market closing conditions. This refinancing move reflects Charter’s confidence in maintaining access to capital markets while executing its long-term financial strategy amid an evolving interest rate environment.
