T-Mobile US, Inc. announced a significant leadership transition in its legal department, revealing that Mark W. Nelson will assume the role of executive vice president and general counsel effective October 11. The move follows Dave Miller’s decision to step down after more than a quarter-century steering the telecommunications giant’s legal strategy.
Dave Miller’s Legacy and Mark W. Nelson’s Arrival
Dave Miller’s departure represents the end of an era at T-Mobile. Having spent 26 years with the company since joining in 1995 at Western Wireless, Miller helped shepherd the organization through transformative moments including the MetroPCS acquisition and the landmark Sprint merger. His leadership extended beyond legal matters—Miller built a legal department that now comprises 550 professionals managing everything from compliance to regulatory advocacy.
Mark W. Nelson brings formidable credentials to the position. With over 25 years of legal practice at Cleary Gottlieb, Nelson has established himself as one of America’s premier antitrust lawyers and litigators, recognized by leading legal publications including Chambers, Benchmark Litigation, and Legal 500. Notably, Nelson has already served as external counsel to T-Mobile for the past two decades, advising on critical transactions such as the MetroPCS acquisition and Sprint merger. His expertise spans merger work, antitrust counseling, civil and criminal litigation, and regulatory proceedings before federal and state agencies. The American Lawyer previously honored Nelson as “Dealmaker of the Year” and “Litigator of the Week.”
Leadership Structure and Transition Plan
Nelson will report directly to CEO Mike Sievert and maintain offices in both Bellevue, Washington, and Washington, D.C., positioning him to handle both corporate and regulatory matters. T-Mobile’s Board of Directors has concurrently elevated Broady Hodder, previously senior vice president of corporate governance and strategic transactions, to corporate secretary, reporting to Nelson. Hodder, who joined T-Mobile’s legal team in 2018 following his tenure as general counsel and secretary at Clearwire Corporation, will oversee corporate governance, securities compliance, and legal teams handling capital markets, executive compensation, and M&A activities.
To ensure continuity, Dave Miller will remain as executive vice president and strategic advisor through April 1, 2022, supporting the leadership transition during this critical period for T-Mobile’s ongoing growth initiatives.
Academic Background and Recognition
Nelson holds a Juris Doctor from Harvard Law School and earned his Bachelor of Science from Cornell University. His appointment underscores T-Mobile’s commitment to maintaining deep legal expertise as the company continues executing its Un-carrier strategy and expanding its 5G network infrastructure nationwide.
