3月13日消息，美国证券交易委员会（SEC）委员Hester Peirce表示，监管机构正在制定一项针对代币化证券的创新豁免机制，但其适用范围将明显小于此前讨论的“一揽子”监管豁免方案。该表态是在SEC投资者咨询委员会（IAC）会议期间作出，引发市场对美国代币化证券监管政策走向的关注。
Hester Peirce指出，SEC工作人员目前正在研究一项更为有限的豁免安排，目的是在保障投资者权益的前提下，为部分代币化证券提供受控交易空间。这一方案并不会完全放松现行证券监管，而是允许在严格条件下进行有限度的市场试验，为未来监管规则积累经验。
此前，SEC投资者咨询委员会下属的市场结构小组委员会在2月26日向监管机构提交意见，明确反对对代币化证券实行全面豁免。该委员会认为，如果数字资产证券完全脱离现有证券法规体系，可能削弱关键投资者保护措施，例如所有权信息披露、监管中介机构职责以及类似传统股票市场的交易秩序保障。
该小组委员会建议监管机构采取逐条规则改革的方式推进监管调整，并在正式实施前进行公开征求意见。委员会在信函中指出，股权证券代币化仍处于非常早期阶段，同时涉及复杂技术演进，因此基于原则的监管建议在当前阶段更具可操作性。
尽管监管讨论仍在进行，IAC也承认代币化证券具备一定潜在优势，例如通过区块链实现“原子结算”，有望缩短结算周期并减少中介风险。同时，链上实时数据还可能帮助企业与股东之间建立更加透明的信息沟通机制。
SEC主席Paul Atkins在同一会议上表示，监管机构预计将在不久后审议相关创新豁免方案。该措施可能作为过渡性监管工具，在确保投资者保护的同时，为美国市场探索数字证券交易模式提供试验空间，并为未来建立长期监管框架奠定基础。
